Terms of Engagement

Issued By: Moonfrog Labs Private Limited (“Moonfrog”)

Please read this agreement carefully. This is a legal document that outlines your rights and obligations in connection with your participation in the Moonfrog Creator Program (“Program”).

The terms and definitions set forth in Section I (Creator Agreement) and the terms and conditions outlined in Section II (the “Terms of Service” or “TOS”) together with the Insertion Order signed by the Creator shall form the complete agreement (the “Agreement”) between Moonfrog Labs Private Limited (“Moonfrog” or the “Company”) and the individual or entity (the “Creator”) who signs the Creator Agreement.

IF YOU ARE AN INDIVIDUAL WHO IS NOT A MINOR (AS DEFINED BELOW):
 By acknowledging receipt of this Agreement, you confirm that:

• You have read and understood the entire Agreement and all of its terms.
• You are 18 years of age or older, as required by the Program.
• You agree to be legally bound by the terms of this Agreement as a participating Creator in the Program.

By signing the Insertion Order Form or sending a written confirmation of receipt to creators@moonfroglabs.com, you are confirming the following:

1. You agree to be bound by this Agreement in its entirety;
2. You confirm that you have read, understood, and accepted all the terms and conditions; and
3. If you are executing this Agreement on behalf of a company, brand, or other entity, you represent and warrant that you have full legal authority to bind such entity to this Agreement.

If you do not agree to the terms and conditions herein, or are not authorized to enter into this Agreement, please consider this Agreement null and void. 

SECTION I: CREATOR AGREEMENT

1. Term This Agreement becomes effective as of the date of the Insertion Order (the “Effective Date”). The Agreement remains in effect until terminated by either Moonfrog Labs Private Limited (“Moonfrog” or the “Company”) or the Creator, as outlined in Section II.6 (the “Term”).

2. Creator Content The Creator agrees to create content (“Creator Content”), including gameplay, promotional content, using a unique Creator Code provided by Moonfrog. This content will promote Moonfrog’s games such as Ludo Club, Parchis Club, Cards Club, or any other current or future Moonfrog titles, as may be specified by Moonfrog. All Creator Content must include clear and conspicuous disclosures of the Creator’s participation in the program and comply with Moonfrog’s Terms of Service and Brand Guidelines.

Promotion of gambling, including but not limited to casino games, sports betting, alcohol/drugs, lotteries, or virtual slot machines, in any format (content or otherwise) is strictly prohibited and constitutes grounds for immediate termination of this Agreement. Moonfrog reserves the right to request removal or takedown of any Creator Content at any time during the Term of this Agreement and the Creator must comply promptly.

2.1 Content Expectations:

Creators are encouraged to:

• Create posts, original video or any other social content featuring Moonfrog games
• Engage with their community about the games
• Promote the game via posting at least once every week
• Represent Moonfrog positively and responsibly
• Comply with Moonfrog’s Brand & Content Guidelines (provided separately)

2.2 Content Formats May Include:

• YouTube videos (gameplay, tutorials, challenges)
• Instagram Reels/Stories
• TikTok videos
• Twitch livestreams
• Discord community hosting
• Cross-platform campaigns or collaborations

3. Rules, Attribution, and Compensation

A. Rules

• • Age: Minimum of 18 years and above
  • Platform Presence: At least one of the following:
  • 80+ YouTube subscribers
  • 1,000+ Instagram or TikTok followers
  • 25+ Twitch followers
  • Conduct: No prior community guideline strikes or behavior harmful to online communities.
  • Content Fit: Content must reflect values aligned with Moonfrog: inclusive, positive, and community-first.

• Meeting these criteria does not guarantee acceptance. Moonfrog may accept applicants based on engagement quality or alignment with brand values.
• The Creator is an independent participant and is not considered an employee, contractor, or agent of Moonfrog.
• The Creator must provide accurate identification details including full name, verified email, affiliated social accounts, and maintain platform eligibility.
• Breach of this Agreement or Brand/Content Guidelines may lead to immediate termination, deactivation of the Creator Code, forfeiture of earnings.
• Moonfrog reserves the right to waive minimum requirements for creators who demonstrate exceptional engagement, creativity, or strong alignment with the brand’s values and objectives.

B. Assignment

“Assigned Payment” refers to a transaction where a user enters a valid Creator Code while purchasing in-game items. Attribution to the Creator will apply for all purchases made while the Creator Code remains active on the user’s game account.

Attribution will continue until the earlier of (a) the expiration of 7 days (unless otherwise specified in the Agreement) from the date the Creator Code is first entered, or (b) the removal or replacement of the Creator Code by the user. Support will automatically cease upon expiration or removal of the code without further notice.

No attribution or payment shall be made for any purchases made after the Creator Code becomes inactive, and no retroactive claims shall be entertained for any reason.

Affiliate Attribution via Code or Link

 In addition to Assigned Payments, Moonfrog may attribute user transactions to a Creator through the use of designated affiliate links or codes provided by Moonfrog. Attribution shall occur when a user initiates a session, download, or purchase through the Creator’s unique affiliate link, or enters the Creator’s designated code during gameplay or checkout.

Affiliate attribution will be valid for a period of 7 days (unless otherwise specified in the Agreement) from the user’s interaction with the link or entry of the code, unless otherwise specified by Moonfrog. Attribution will expire automatically upon the earlier of the lapse of the attribution period or the user’s entry of a different affiliate code or link associated with another Creator.

No attribution or commission shall apply to transactions occurring after the expiration of the applicable attribution window. Moonfrog reserves the right to modify attribution rules at its sole discretion without prior notice to the Creator.

 C. Compensation

As may be outlined in the Creator Insertion Order Form.

Taxes, agent fees, and third-party expenses are the Creator’s responsibility. Taxes may be withheld where required by law. 

SECTION II: GENERAL TERMS AND CONDITIONS

1. Performance Creators shall perform obligations in good faith and use official Moonfrog branding and terminology. Any content must be removed upon request.

2. Creator Content Creator Content must not:

• Contain offensive, misleading, or infringing material
• Misrepresent identity or impersonate others
• Include unlicensed links or violate platform/content laws Creators remain solely responsible for submitted content.

3. Grant of Rights/Usage

• Moonfrog retains all rights to its trademarks and materials.
• The Creator retains ownership of their content but grants Moonfrog a perpetual, royalty-free license to use and promote said content on Moonfrog’s owned platforms.
• Moonfrog is not obligated to use any content and is not responsible for third-party distribution of such content.

4A. Content Conduct & Guidelines

4A.1 Do’s:

• Use a positive, inclusive, and respectful tone
• Disclose partnerships clearly using tags such as #ad, #sponsored, or #MoonfrogPartner
• Follow platform-specific rules (YouTube, Twitch, etc.)
• Use only approved visual assets
• Moderate fan interactions responsibly

4A.2 Don’ts:

• Do not promote hacks, cheats, or exploits
• Do not use offensive, racist, sexist, homophobic, or hateful language
• Do not leak confidential or unreleased Moonfrog content
• Do not misrepresent the relationship (e.g., claim to be Moonfrog staff)
• Do not create or promote unofficial merchandise using Moonfrog IP

Violations may result in takedown requests or termination from the program.

4B. Review & Approval Rights

• For general content, Creator does not require Moonfrog’s prior approval.
• For sponsored or paid assignments, Moonfrog reserves the right to review and request changes before publication.
• Moonfrog may request content removal for brand violations or legal concerns.

5. Representations/Guarantees The Creator represents that:

• They are 18+ (or of majority age) or have valid guardian consent
• They have the right and authority to enter into this Agreement
• Their social stats are genuine and not artificially manipulated
• Content and communications are truthful, lawful, and consistent with Moonfrog’s values

6. Termination 

6.1 Validity:

This agreement remains in force until terminated by either party.

6.2 Termination by Creator:

The Creator may exit the program at any time with 30 days’ written notice.

6.3 Termination by Moonfrog:

Moonfrog may terminate: With Immediate Notice in case of:

• • Breach of this agreement or Brand Guidelines, or
  • Inactivity (e.g., no content for 90+ days), or
  • Misconduct, toxicity, hate speech, or behavior that reflects poorly on Moonfrog, or
  • For any reason that Moonfrog may deem fit

Moonfrog reserves the right to reassign or deactivate Creator Codes and/or Affiliate Link post-termination.

7. Use of Intellectual Property

7.1 License to Creator:

Moonfrog grants the Creator a non-exclusive, revocable, limited license to use Moonfrog’s game assets (including logos, characters, in-game footage, art, music, UI elements) only for the purpose of creating and publishing content related to Moonfrog games.

7.2 License to Moonfrog:

The Creator grants Moonfrog a worldwide, royalty-free, perpetual license to use, display, reproduce, repost, adapt, and promote the Creator’s content that features Moonfrog games, including:

• On Moonfrog’s social media, websites, and in-game promotions
• In community spotlights or promotional campaigns

Ownership remains with the Creator; Moonfrog is granted usage rights only.

8. Limitations of Liability Moonfrog is not liable for user-generated content or indirect damages. Creator assumes all responsibility for content posted.

9. Indemnification The Creator agrees to indemnify and hold harmless Moonfrog and affiliates from third-party claims related to content, breaches, or misconduct.

10. Confidentiality The Creator will be at all times bound by the Confidentiality Agreement as signed by the Creator with Moonfrog.

10.1 Definition of Confidential Information:

Includes but is not limited to:

• Early access builds, private communications
• Unreleased features, content embargoes
• Internal strategy, product roadmaps

10.2 Non-Disclosure:

Creator shall not disclose any Confidential Information unless authorized in writing by Moonfrog. Breach of this clause may result in:

• Immediate termination from the program
• Legal action or remedies sought under applicable law

11. Miscellaneous This Agreement does not establish an employment or agency relationship. If signed by an agent, they represent the authority to bind the Creator. This Agreement may only be amended in writing. It is governed by the laws of India, with jurisdiction in Bangalore.

12. Severability If any clause is found unenforceable, remaining clauses remain in effect.

13. Language This Agreement is prepared in English. In case of conflict, the English version prevails.

14. Governing Law & Jurisdiction This agreement shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.

15. Miscellaneous

• This agreement represents the entire understanding between the Creator and Moonfrog.
• Moonfrog may update this agreement or related guidelines. Continued participation constitutes acceptance of updated terms.
• The Creator is an independent contractor, not an employee or representative of Moonfrog.
• No waiver of rights shall be deemed unless in writing.
• This agreement or terms have been prepared and executed in the English language. In the event of any discrepancy, inconsistency, or conflict between translations of this Agreement into any other language and the English version, the English version shall prevail and be the governing document for all purposes.
